Terms of Service

The terms that govern your use of Joopler.

Effective July 17, 2026

These Terms of Service ("Terms") are a legal agreement between you or the organization you represent ("Customer", "you") and Joopler ("Joopler", "we", "us") governing your access to and use of the Joopler website and platform (the "Service"). By creating an account, or by accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

1. The Service

Joopler is a compliance-automation and AI-governance platform. It reads configuration and status from systems you connect (read-only), runs automated checks against compliance frameworks, records signed, tamper-evident evidence, and provides related tools such as policies, risk and vendor management, a Trust Center, and AI-usage governance. We may update, improve, or change features of the Service over time.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity under your account. Notify us promptly of any unauthorized use. You are responsible for your users' compliance with these Terms.

3. Subscriptions, trials, and billing

The Service is offered under the plans described at joopler.com/pricing, including a free tier and paid subscriptions. Paid subscriptions are billed in advance on a recurring basis through our payment processor and renew automatically for successive terms unless cancelled before the renewal date. Fees are exclusive of taxes, which you are responsible for. Except where required by law, fees are non-refundable. Free trials convert to a paid plan at the end of the trial unless cancelled. We may change pricing on renewal with prior notice.

4. Your data and content

As between the parties, you retain all rights to the data and content you or your connected systems provide to the Service ("Customer Data"). You grant Joopler a limited, non-exclusive license to host, process, and transmit Customer Data solely to provide, secure, and support the Service, and as otherwise permitted in our Privacy Policy. You are responsible for having the necessary rights and lawful basis to provide Customer Data, including any personal data of your personnel.

5. Connected systems and third-party services

The Service connects to third-party systems you authorize using read-only, least-privilege access to collect evidence. Your use of those third-party services is governed by their own terms, and Joopler is not responsible for them. You are responsible for the credentials and permissions you grant, and for maintaining them so the Service can operate.

6. Acceptable use

You will not: use the Service unlawfully or to infringe others' rights; attempt to gain unauthorized access to the Service or its systems; probe, scan, or test the vulnerability of the Service except as we expressly permit; interfere with or disrupt the Service; reverse engineer or copy the Service except as permitted by law; resell or provide the Service to a third party except as agreed; or upload malicious code. We may suspend access to protect the Service, our customers, or third parties.

7. Compliance is a shared responsibility

Joopler is a tool that helps you measure, manage, and evidence your security and compliance posture. Joopler does not provide legal, regulatory, or audit advice, does not certify or audit your organization, and does not guarantee that you will achieve or maintain any certification or regulatory outcome. Responsibility for your compliance, and for the accuracy of the information you connect and the actions you take, remains with you. Certifications and audit opinions are issued only by qualified third parties.

8. Intellectual property

Joopler and its licensors own all rights in the Service, including its software, content, and trademarks, excluding Customer Data. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. If you send us feedback, you grant us a perpetual, royalty-free license to use it to improve the Service.

9. Confidentiality

Each party may access the other's confidential information in connection with the Service. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Terms, except where disclosure is required by law.

10. Warranties and disclaimers

We will provide the Service with reasonable skill and care. EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL DETECT EVERY ISSUE OR SATISFY EVERY REQUIREMENT.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY. THESE LIMITS DO NOT APPLY TO A PARTY'S LIABILITY FOR ITS OWN GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR AMOUNTS THAT CANNOT BE LIMITED BY LAW.

12. Indemnification

You will defend and indemnify Joopler against third-party claims arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or the rights of a third party, except to the extent caused by Joopler.

13. Term and termination

These Terms apply while you use the Service. Either party may terminate a subscription as described in the applicable plan or order. We may suspend or terminate access if you materially breach these Terms and do not cure it after notice, or immediately where required to protect the Service or comply with law. On termination, your right to use the Service ends; we will make Customer Data available for export for a limited period and then delete it as described in our Privacy Policy and customer agreement. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and confidentiality) survive termination.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
